Terms of Service

1. Acceptance of Terms

By accessing or using the Agrotronics platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Service

Agrotronics provides a cloud-based IoT farm management platform including sensor data collection, real-time monitoring, automated irrigation scheduling, alert notifications, analytics, and related services (“the Platform”).

3. Account Registration

• You must provide accurate and complete registration information
• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorised access to your account
• You must be at least 18 years old to create an account
• One person or legal entity may not maintain more than one free account

4. Subscription Plans and Payment

We offer Free, Pro, and Enterprise subscription tiers. Plan limits (devices, farms, data retention) are as described on our pricing page at the time of subscription.

• All payments are processed in Nigerian Naira (NGN) via Paystack
• Subscriptions auto-renew monthly unless cancelled before the renewal date
• Refunds are available within 7 days of a new subscription or upgrade
• We reserve the right to change pricing with 30 days' notice
• Free plan access is provided as-is, with no service level guarantees

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Reverse engineer, decompile, or attempt to extract the source code of the Platform
• Use automated tools to scrape or bulk-download data from the Platform
• Attempt to gain unauthorised access to other users' accounts or data
• Use the MQTT infrastructure to transmit malicious payloads or spam
• Resell or sublicense the Service without our written permission
• Interfere with or disrupt the integrity of the Service

6. Data Ownership

You retain full ownership of all farm data, sensor readings, and content you upload to the Platform. By using the Service, you grant Agrotronics a limited, non-exclusive licence to process and store your data for the sole purpose of providing the Service.

Agrotronics may use anonymised, aggregated data (with all personally identifiable information removed) for research, product improvement, and agricultural insights publications.

7. Service Availability and SLA

• Free plan: No uptime guarantee
• Pro plan: 99.5% monthly uptime target
• Enterprise plan: 99.9% monthly uptime SLA with service credits

Scheduled maintenance windows are announced at least 24 hours in advance via the status page and email. Emergency maintenance may occur without notice.

8. Limitation of Liability

To the maximum extent permitted by law, Agrotronics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to crop loss, equipment damage, or lost profits, arising from your use of or inability to use the Service.

Our total liability for any claim arising from these Terms shall not exceed the amount you paid to us in the 3 months preceding the claim.

9. Termination

You may terminate your account at any time by contacting support. We may suspend or terminate your account for breach of these Terms, non-payment, or for any reason with 30 days' notice. Upon termination:

• Your access to the Platform will be immediately revoked
• Your data will be retained for 30 days, after which it will be permanently deleted
• You may request a data export within the 30-day grace period

10. Intellectual Property

The Agrotronics brand, platform, software, and documentation are the exclusive property of Agrotronics Innovations Ltd. Our open-source hardware schematics are released under CC BY-SA 4.0 where specified.

11. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved first through good-faith negotiation, then by binding arbitration in Ibadan, Oyo State, Nigeria under the Arbitration and Conciliation Act.

12. Changes to Terms

We may modify these Terms at any time. We will provide at least 30 days' notice for material changes via email and in-app notification. Continued use of the Service after changes take effect constitutes acceptance.
